Toronto Event Agency reserves the right to modify these terms at any time. Your continued use of our services after such modifications constitutes your acceptance of the revised terms.

2. Services Description

Toronto Event Agency provides event management and live activation services, including but not limited to:

• Live embroidery, screen printing, laser engraving, calligraphy, and café activations
• Full event production and management
• Venue rental and coordination
• Vendor network and marketplace services

All services are provided in accordance with applicable laws and regulations in Ontario, Canada.

3. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information when submitting inquiries
• Respond promptly to communications regarding your event
• Provide final approval for all event details before execution
• Ensure your event complies with all applicable laws and regulations
• Pay all agreed-upon fees and charges in a timely manner
• Obtain any necessary permits, licenses, or approvals for your event

4. Pricing and Payment

All pricing is negotiated on a case-by-case basis and depends on factors including but not limited to:

• Event duration and timing
• Number of outputs and stations required
• Location and travel requirements
• Attendance and guest count
• Specific services requested
• Our own schedule and availability

Payment terms are agreed upon during the quoting process. A deposit may be required to secure your booking. Final payment is due prior to or at the time of service delivery, as specified in your invoice.

Cancellation Policy: Cancellations may result in forfeiture of deposits depending on timing and circumstances. Specific terms will be outlined in your quote.

5. Vendor and Venue Network

For vendors and venues joining our network:

• You represent that all information provided in your application is accurate
• You have the necessary equipment, insurance, and qualifications to provide your services
• You will maintain professional standards when working at events
• You agree to our commission structure (typically 10-20% on bookings)
• You will communicate directly with clients regarding their events

Toronto Event Agency reserves the right to approve or decline any vendor or venue application at our sole discretion.

6. Intellectual Property

All content on this website, including text, images, logos, and design elements, is the property of Toronto Event Agency or its licensors and is protected by Canadian copyright laws.

You may not use, reproduce, or distribute any content from this site without our express written permission, except as necessary for your personal use.

7. Limitation of Liability

To the fullest extent permitted by law, Toronto Event Agency shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our services.

We are not liable for:

• Acts or omissions of third parties (vendors, venues, etc.)
• Injuries, damages, or losses occurring during events
• Technical issues or service interruptions
• Loss of data or information

8. Indemnification

You agree to indemnify and hold harmless Toronto Event Agency, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from:

• Your use of our services
• Your violation of these terms
• Any third-party claims related to your event

9. Privacy

Your privacy is important to us. We collect and use your information in accordance with applicable privacy laws in Ontario, Canada. By submitting inquiries or applications, you consent to our collection and use of your information for the purposes described in our Privacy Policy.

10. Governing Law

These Terms of Service and any disputes arising from or related to our services shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada, without regard to its conflict of laws provisions.

11. Severability

If any provision of these Terms of Service is found to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.
